Clauses to Insert and Suggested Edits

Suggested Edits

This functionality compares clauses to your playbook and comes up with suggestions on how to edit the clauses to better align the contract to your desired positions. To use a suggested edit: ‍

• Open the Playbook tab.
• Click on the Clause Name in the right hand panel. You will see a description of the desired position in the playbook.
• Click show clause to navigate to the relevant section of the contract which the suggestion relates to.
• Scroll down to find the suggested edit to the clause.
• Click Accept to automatically replace the existing contract clause with the available suggestion as a tracked changed in your contract. Accept or reject tracked changes as normal to align with the rest of the contract.
• You can also Dismiss a suggested edit where you need to. When a suggested edit is dismissed, the suggestion available will no longer be available. You will however be able to see the instructions around the clause to manually make edits.

Clauses to Insert

This functionality compares the contract you are reviewing to your playbook. It informs you of clauses that are not currently in the contract you are reviewing, that need to be inserted, as per your playbook.  To use this feature:

• Open the Playbook tab.
• Click on the Clause Name in the right hand panel. You will see a description of the desired position in the playbook.
• Scroll down to see the clause as required in your playbook. Copy the text and paste in the desired section of the contract.
• Once the clause is inserted, the clause name will be greyed out which indicates that the contract now adheres to your playbook for this clause.

Other Playbook items

This is an instructions only function, it highlights positions/instructions in the playbook to be aware of while reviewing a contract.
